Terms of Service

1. Definitions
“SipCoin,” “we,” “us,” or “our” means SipCoin and its affiliates operating the Service.
“Service” means the SipCoin loyalty platform, including our consumer mobile application, public website, venue staff tools, and related APIs, integrations, and support channels we make available from time to time.
“User,” “you,” or “your” means any individual or entity that accesses or uses the Service, including consumers and authorized venue personnel.
“Points” or “SipCoins” means the non-cash loyalty credits tracked in your account when permitted by these Terms and our systems.
“Venue” means a participating hospitality business and its authorized staff using SipCoin venue tools.
“Content” means text, images, receipts, feedback, and other materials you submit to the Service.
2. Agreement; Privacy Policy
These Terms, together with any policies referenced here (including our Privacy Policy), form a binding agreement between you and SipCoin. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business.
Our Privacy Policy describes how we collect, use, and share personal information. By using the Service, you acknowledge that we process information as described there.
3. Eligibility
The consumer Service is intended for adults of legal drinking age in your jurisdiction. You must be at least 21 years of age to create a consumer account. By registering, you represent that you meet this requirement. We may request proof of age or eligibility where permitted by law.
Venue staff accounts require authorization from a verified venue operator. You may not create an account using false identity information or on behalf of another person without permission.
4. Description of the Service
SipCoin provides loyalty, check-in, receipt-based earning, rewards redemption, and related features that depend on participation by independent Venues. We may add, modify, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee availability of any particular Venue, reward, promotion, or earning opportunity.
Independent Venues
Venues are independent third parties. SipCoin does not sell or serve alcohol and does not control Venue pricing, service of alcohol, admission, or compliance with local laws. Any dispute you have with a Venue regarding goods, services, or promotions is between you and that Venue, except where applicable law requires otherwise.
5. Accounts and Security
You are responsible for safeguarding your login credentials and for activity under your account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Notify us promptly at legal@sipcoin.app if you suspect unauthorized access
- Not share your account, sell access, or create multiple accounts to abuse promotions or Points
We may require multi-factor authentication, re-verification, or additional checks to protect accounts and prevent fraud.
6. License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use (or, for Venue accounts, for internal business purposes related to your Venue’s participation). You will not:
- Copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted
- Reverse engineer, decompile, or attempt to extract source code except where prohibited by law
- Use the Service to build a competing product or to benchmark or scrape our systems
- Bypass or interfere with security, usage limits, or access controls
7. Points, Rewards, and Promotions
Points are promotional loyalty credits with no cash value, are not currency or property, and are not redeemable for money except where we explicitly offer a permitted redemption mechanism. Points:
- Are awarded only when our systems record qualifying activity in accordance with program rules
- May be subject to caps, exclusions, or verification before posting to your account
- May be redeemed only for rewards offered within the Service by participating Venues, subject to availability
- Are non-transferable between accounts except where we expressly enable a feature
- May expire if your account is inactive for twelve (12) consecutive months, or as stated in program communications
- May be voided or adjusted if issued in error or obtained through prohibited conduct
We may change earning rates, catalogs, redemption values, or program mechanics; where changes are material, we will provide reasonable notice via the Service or email when we have your contact information.
8. Receipts, Verification, and Fraud Prevention
When you submit receipt images or transaction details, you authorize us and our service providers to process that information (including using optical character recognition and manual review) to operate the loyalty program, detect fraud, and improve our systems.
You agree that:
- You will submit truthful information and genuine receipts related to your own purchases where required
- We may delay, withhold, or reverse Points pending investigation
- We may cooperate with Venues and law enforcement regarding suspected fraud or abuse
9. Venue Partners
Venues that join our network accept additional commercial and operational obligations, including through onboarding flows, order forms, and payment processing agreements (for example, billing through our payment processor). If you operate a Venue, those separate terms govern fees, invoicing, and service levels in addition to these Terms where applicable.
Venue staff must use the Service honestly, including receipt confirmation and reward fulfillment, and comply with applicable alcohol service and hospitality regulations.
10. Prohibited Conduct
In addition to restrictions stated elsewhere, you agree not to:
- Submit forged, altered, or third-party receipts without authorization
- Exploit bugs, automation, or scripts to manipulate Points, check-ins, or leaderboards
- Harass, threaten, or harm other users, Venues, or our personnel
- Upload malware or attempt to disrupt the Service or other users’ devices
- Impersonate any person or misrepresent affiliation with a Venue or SipCoin
- Use the Service for unlawful, fraudulent, or discriminatory purposes
- Collect or process personal data of other users without a lawful basis
Violations may result in suspension or termination, forfeiture of Points, and referral to law enforcement where appropriate.
11. User Content and License
You retain ownership of Content you submit. You grant SipCoin a worldwide, non-exclusive, royalty-free license to host, reproduce, process, and display Content solely to operate, secure, and improve the Service, including fraud prevention, customer support, and analytics in aggregated or de-identified form where permitted.
You represent that you have all rights necessary to grant the foregoing license and that your Content does not infringe third-party rights. We may remove Content that violates these Terms or applicable law.
12. Communications
Transactional messages
We may send service-related emails or push notifications (for example, account security, receipt status, redemptions, and program updates necessary to operate the Service). You may control certain notification preferences in the app where available.
Optional marketing
Where we send promotional messages, we will do so consistent with applicable law and our Privacy Policy, including any consent or unsubscribe mechanisms we provide.
Electronic agreements
You consent to receive agreements, notices, and disclosures electronically via the Service or email.
13. Third-Party Services and App Stores
The Service relies on infrastructure and integrations operated by third parties (for example, cloud hosting, authentication, payments, analytics, email delivery, and document processing). Their processing is described at a high level in our Privacy Policy.
If you download our mobile application from Apple App Store or Google Play, you acknowledge that those platforms are not parties to these Terms and are not responsible for support or liability relating to the app, subject to the stores’ applicable terms.
14. Fees
Consumer accounts are generally offered without a SipCoin membership fee. You are responsible for any data, messaging, or carrier charges from your device provider. Venue and enterprise offerings may involve fees governed by separate contracts and invoices.
15. Intellectual Property
SipCoin trademarks, logos, graphics, and software are protected by intellectual property laws. No rights are granted except as expressly stated. You may not remove proprietary notices or use our branding without prior written consent.
16. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIPCOIN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the fullest permitted extent.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIPCOIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SIPCOIN FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.
18. Indemnification
You will defend, indemnify, and hold harmless SipCoin and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your Content, your use of the Service, your breach of these Terms, or your violation of applicable law or third-party rights.
19. Suspension and Termination
We may suspend or terminate access to the Service, with or without notice, if we reasonably believe you violated these Terms, pose a security risk, or must do so to comply with law. You may stop using the Service at any time and may request account deletion as described in our Privacy Policy.
Provisions that by their nature should survive (including licenses to the extent needed to enforce rights, disclaimers, limitations, indemnity, and dispute resolution) will survive termination.
20. Dispute Resolution; Arbitration; Class Action Waiver
Informal resolution
Before filing a claim, you agree to contact us at legal@sipcoin.app and attempt to resolve the dispute informally for at least thirty (30) days.
Binding arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Rules for business users), except as stated below. The Federal Arbitration Act governs this section.
Exceptions
Either party may bring an individual action in small claims court if eligible. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information or to prevent unauthorized access or abuse of the Service.
Class waiver
YOU AND SIPCOIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, UNLESS BOTH YOU AND SIPCOIN OTHERWISE AGREE IN WRITING.
Opt-out
You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by emailing legal@sipcoin.app with your name, email, and a clear statement that you opt out of arbitration. If you opt out, the arbitration agreement does not apply, but the class waiver and governing law provisions still apply to the extent permitted by law.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs arbitration as stated above. For claims not subject to arbitration, you and SipCoin consent to exclusive jurisdiction in the state and federal courts located in Delaware, except where prohibited by law.
22. International Use and Export
The Service is operated from the United States. If you access the Service from other regions, you consent to the transfer and processing of information in the United States and other countries where we or our vendors operate. You represent that you are not located in a country subject to a U.S. government embargo or designated as a prohibited party under applicable export control laws.
23. General
These Terms constitute the entire agreement between you and SipCoin regarding the Service.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
24. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new effective date and, where changes are material, provide additional notice (for example, email or in-app notification). Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
